Terms of Service

1. Acceptance of Terms

By accessing or using the Agentic Execution platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including individuals, businesses, and organisations.

2. Description of Service

Agentic Execution provides an AI-powered document processing and investment operations automation platform. The Service enables users to:

• Connect email accounts to automatically retrieve fund documents
• Extract structured data from PDF statements, trade confirmations, and term sheets
• Reconcile positions and transactions against internal records
• Export structured data to third-party systems via CSV, FTP, and API

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at hello@agentic-execution.com if you suspect any unauthorised access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable financial regulations
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Upload malicious code, viruses, or any content that disrupts the Service
• Resell, sublicense, or commercially exploit the Service without written consent
• Use the Service to process documents belonging to third parties without proper authorisation

5. Data & Confidentiality

You retain ownership of all financial data and documents you upload to the Service. By using the Service, you grant Agentic Execution a limited licence to process, store, and transmit your data solely for the purpose of providing the Service. We treat all client data as confidential and do not share it with third parties except as necessary to operate the Service or as required by law. Please review our Privacy Policy for full details.

6. AI Extraction Accuracy

Agentic Execution uses large language models to extract data from documents. While we strive for the highest accuracy, AI extraction is not infallible. You are responsible for reviewing extracted data before using it for trading, reporting, or compliance purposes. Agentic Execution shall not be liable for any losses arising from reliance on extracted data without independent verification.

7. Fees & Payment

Subscription plans and applicable fees are described on our pricing page. All fees are charged in advance and are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Intellectual Property

The Service, including all software, algorithms, user interfaces, and documentation, is owned by Agentic Execution and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Agentic Execution and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or in connection with your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim.

10. Termination

Either party may terminate the Service agreement with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we will make your data available for export for 30 days before deletion.

11. Governing Law

These Terms are governed by the laws of Hong Kong Special Administrative Region. Any disputes shall be resolved in the courts of Hong Kong, and you consent to the exclusive jurisdiction of such courts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
